These Terms and Conditions govern the engagement between you and Setia Bina, a business consulting firm based in Johor Bahru, Malaysia. By enquiring about, agreeing to, or receiving any service from us, you indicate that you have read and understood these terms. 1. Definitions
In these Terms and Conditions, the following terms carry the meanings set out below:
- "Setia Bina", "We", "Us", "Our" — refers to Setia Bina, the business consulting firm operating from 9, Jalan Bukit Timbalan, 80000 Johor Bahru, Johor, Malaysia.
- "Client", "You", "Your" — refers to any individual or business entity that engages or enquires about our services.
- "Services" — refers to the business consulting engagements offered by Setia Bina, including the Loyal Review, Continuity Planning, and Faithful Companion arrangements, as described on our website and in any written engagement agreement.
- "Engagement" — refers to a confirmed and agreed arrangement between the Client and Setia Bina for the delivery of one or more Services.
- "Deliverables" — refers to any written outputs produced during an engagement, such as recap notes, plan documents, or quarterly summaries.
- "Agreement" — refers collectively to these Terms and Conditions and any written engagement confirmation or scope statement agreed between the parties.
- "Website" — refers to the Setia Bina website accessible at setiabin.live.
2. Acceptance of Terms
By submitting an enquiry through our website, agreeing to an engagement in writing or verbally, or receiving any deliverable from us, you confirm that:
- You are at least 18 years of age and have the legal capacity to enter into an agreement.
- If representing a business, you have the authority to bind that business to these terms.
- You have read and understood these Terms and Conditions and accept them without reservation.
If you do not agree with any part of these terms, please do not proceed with engaging our services. We are happy to answer any questions before you commit.
3. Our Services
Setia Bina offers small business consulting services in Johor Bahru, Malaysia. Our current service offerings are:
- Loyal Review (RM 350): A single session to assess where your business stands, accompanied by a short written recap note. No commitment to further engagement is expected or required.
- Continuity Planning (RM 835): A structured set of two sessions across five weeks, resulting in a working plan document to help your business carry on steadily through staffing or seasonal changes.
- Faithful Companion (RM 1,570 per year): A twelve-month advisory arrangement including monthly meetings, quarterly summaries, and reachable support between sessions.
The scope of each service is described in more detail on our website. Services are available to clients based in Malaysia. We may, at our discretion, work with clients outside Malaysia but do not undertake to do so as a standard offering.
Service availability is subject to our capacity at any given time. We will communicate any constraints honestly before an engagement begins.
4. Client Responsibilities
A productive engagement depends on mutual engagement. As a client, you agree to:
- Provide accurate and reasonably complete information about your business and circumstances when asked.
- Attend scheduled sessions at the agreed time, or give reasonable notice if you need to reschedule.
- Engage in the process in good faith, understanding that the value of advisory work depends in part on your participation.
- Use our deliverables and advice for lawful purposes only.
- Not share deliverables prepared for your engagement with third parties without our prior agreement.
- Settle invoices within the timeframe agreed.
We do not expect perfection — we understand that small business owners carry significant demands on their time. We ask only for a reasonable degree of engagement and communication.
Prohibited uses of our services or deliverables include: using advisory outputs to misrepresent your business to investors, lenders, or regulators; sharing confidential methodologies without consent; or engaging with us under false pretences regarding the nature of your business.
5. Intellectual Property
All methodologies, frameworks, templates, and processes used or described during our engagements remain the intellectual property of Setia Bina. These represent years of advisory development and are proprietary to us.
Deliverables prepared specifically for you — such as your recap note, plan document, or quarterly summaries — are provided to you for your own internal business use. You may share these within your own organisation freely.
You may not:
- Reproduce or publish our methodologies or frameworks commercially or publicly.
- Use our deliverables to create competing advisory services.
- Remove any attribution or branding from documents we prepare for you.
Content you share with us during an engagement (business data, plans, financial information) remains yours. We do not claim ownership over information you provide.
6. Payment Terms
All prices are quoted in Malaysian Ringgit (RM) and are inclusive of any applicable taxes unless stated otherwise. Current service fees are as listed on our website and in any written engagement confirmation.
- Loyal Review: Payment of RM 350 is due in full prior to the session.
- Continuity Planning: Payment of RM 835 is due in full before the first session, or in two equal instalments with the first due before the first session and the second before the second session, at our discretion.
- Faithful Companion: Payment of RM 1,570 covers a twelve-month period. This may be paid annually in advance or in quarterly instalments of RM 392.50, as agreed in writing.
Payment is accepted by bank transfer to details provided in our invoice. Invoices are issued promptly following engagement confirmation.
Late payments may result in sessions being postponed until the outstanding balance is settled. We will communicate about any payment issues openly before taking further steps.
Refunds: If you cancel a Loyal Review with at least 48 hours' notice before the session, a full refund will be arranged. Cancellations with less than 48 hours' notice are not eligible for a refund, though we may offer to reschedule at our discretion. For Continuity Planning and Faithful Companion engagements, refunds for unused portions may be considered on a case-by-case basis; please speak to us directly.
7. Delivery & Scope
Each service has a defined scope as described on our website and confirmed at the start of an engagement. We will make reasonable efforts to deliver all elements within the timeframes described.
We may suggest adjustments to scope during an engagement if circumstances change materially — for example, if a business situation becomes significantly more complex than initially understood. Any scope changes will be discussed openly with you before they take effect.
Session scheduling is agreed mutually. We ask for a minimum of 48 hours' notice for any rescheduling request. Missed sessions with no prior notice may be counted as delivered at our discretion.
Deliverables such as written recap notes and plan documents will be provided electronically in a commonly accessible format (PDF or similar) within a reasonable time after the relevant session.
8. Confidentiality
We treat all information you share with us during an engagement as confidential. We will not disclose your business information, plans, or circumstances to third parties without your consent, except where required by law.
Equally, we ask that you treat the specific methods, frameworks, and advisory approaches we use as confidential to our practice. This allows us to continue offering a considered and consistent service.

9. Disclaimers
Our services are advisory in nature. We share our perspective, experience, and structured thinking to support your decision-making — we do not make decisions on your behalf, and we do not hold ourselves out as providing legal, financial, tax, or accounting advice.
The outcomes of any business decisions you make following our engagement are your own. We cannot control market conditions, third-party behaviour, or the many variables that affect business performance. Our role is to help you think more clearly, not to manage results.
Our website and materials are provided for informational purposes. While we take care to keep content accurate, we do not warrant that all information is complete, current, or error-free at all times.
10. Limitation of Liability
To the maximum extent permitted under Malaysian law, Setia Bina's liability to you arising from or related to any engagement is limited to the total fees paid by you for the specific service concerned.
We shall not be liable for:
- Indirect, consequential, or special losses (including lost profit, lost opportunity, or business interruption).
- Losses arising from decisions made by you or your representatives based on our advisory outputs.
- Delays or non-performance resulting from circumstances outside our reasonable control (force majeure), including illness, natural events, or disruption to infrastructure.
Nothing in these terms excludes liability for fraud, gross negligence, or any liability that cannot be excluded under the laws of Malaysia, including applicable consumer protection provisions.
11. Indemnification
You agree to indemnify and hold Setia Bina, its advisors, and associates harmless from any claims, losses, costs, or expenses (including reasonable legal costs) arising from:
- Your breach of these Terms and Conditions.
- Your use of our deliverables in a manner that was not authorised or intended.
- Any misrepresentation you made in connection with the engagement.
12. Termination
Either party may end an ongoing engagement by giving reasonable written notice. For the Faithful Companion arrangement, a minimum notice period of 30 days applies.
We reserve the right to end an engagement with immediate effect if a client is found to have provided materially false information, behaved in a manner that makes continued engagement untenable, or failed to settle outstanding payments after reasonable notice.
Upon termination, our obligation to provide further sessions or deliverables ceases. Payment obligations for work already performed remain. Where a client terminates a fixed-period engagement, fees already paid are generally non-refundable for work already carried out, though we will consider individual circumstances fairly.
Sections relating to intellectual property, confidentiality, limitation of liability, and dispute resolution survive termination.
13. Dispute Resolution
These Terms and Conditions are governed by and construed in accordance with the laws of Malaysia. Any disputes arising from an engagement are subject to the jurisdiction of the courts of Malaysia.
Before pursuing formal action, we encourage both parties to attempt an informal resolution. If you have a concern, please contact us at [email protected] and we will make a genuine effort to address it promptly and fairly.
If informal resolution is not possible, the parties agree to consider mediation before pursuing litigation. This is not a mandatory step, but we believe it often produces better outcomes for both sides.
14. General Provisions
Entire Agreement: These Terms and Conditions, together with any written engagement confirmation, constitute the complete agreement between you and Setia Bina regarding the services described.
Severability: If any provision of these terms is found to be invalid or unenforceable, the remaining provisions continue in full effect.
Waiver: Our failure to enforce any provision at any time does not constitute a waiver of that provision or our right to enforce it in future.
Assignment: You may not assign your rights or obligations under any engagement to another party without our prior written agreement. We may involve qualified associates in the delivery of services, but remain responsible to you throughout.
Notices: Written notices between us may be sent by email to the addresses used in correspondence. Notices are considered received on the next business day after sending, unless a delivery failure is received.
15. Changes to These Terms
We may update these Terms and Conditions from time to time to reflect changes in our services, applicable law, or operating practices. The updated version will be posted on our website with a revised "Last Updated" date.
For ongoing engagements already in progress, material changes to terms will be communicated directly and will not take effect retrospectively for your current engagement period without your agreement.
Your continued use of our services following a change to these terms constitutes your acceptance of the revised version.
